Петчленен състав на Върховния административен съд (ВАС) е решил, че Livero Establishment – Лихтенщайн не трябва да отправя търгово предложение към акционерите на Булгартабак холдинг АД, след като е придобило контрол над БТ Инвест ГмбХ. Петчленният състав на ВАС оставя в сила решението на тричленния със свое решение 2444 от 9 март 2015 г.
Комисията за финансов надзор беше наложила принудителна административна мярка (ПАМ) на БТ Инвест ГмбХ, Австрия да не упражнява правото си на глас в общото събрание на акционерите на Булгартабак - холдинг АД до публикуването на търгово предложение от Livero Establishment, Княжество Лихтенщайн или докато Livero Establishment не загуби контрол над БТ Инвест ГмбХ, чрез продажба на дяловете си в него.
Съдът обяснява, че Livero Establishment е следвало да бъде уведомено за започнатото административно производство от КФН, за да упражни процесуалните си права и да се защити срещу изложените от регулатора съображения за извършено нарушение на ЗППЦК.
„От своя страна неучастието на Livero Establishment в административното производство е довело до нарушаване на правата на “БТ Инвест” ГмбХ, тъй като с ПАМ му е наложена забрана до изпълнение на задължение на трето лице, неучаствало в административното производство, върху което “БТ Инвест” ГмбХ няма как да влияе. Горното представлява съществено нарушение на административнопроизводствените правила и е самостоятелно основание за отмяна на ПАМ на основание чл. 146, ал. 3 от АПК.“, пише в решението.
Булгартабак холдинг АД отчете 53% спад на консолидираната печалба на годишна база до 31,6 млн. лв. за 2015 г. Консолидираните продажби се увеличиха с 3% на годишна база до 535 млн. лв. за 2014 г.
Акциите на Булгартабак холдинг АД поевтиняват с 51% за последните 12 месеца до 45 лв. за ценна книга и 331,5 млн. лв. пазарна капитализация.
